1. Introduction

These Terms of Service govern your access to and use of the website, services, courses, training programmes, and professional design services provided by CAD Consultants Ltd, a company incorporated in New Zealand.

By accessing our website, purchasing a service, or enrolling in a course, you agree to be bound by these Terms. If you do not agree, please do not use our services.

These Terms are governed by the laws of New Zealand, including the Contract and Commercial Law Act 2017, the Consumer Guarantees Act 1993, the Fair Trading Act 1986, and the Privacy Act 2020.

2. Our Services

CAD Consultants Ltd provides: (1) Professional Services — Architectural design, drafting, CAD modelling, BIM, design consultation, and related professional services; and (2) Online Courses and Training — self-paced and instructor-led online courses, webinars, and training programmes in CAD, architectural design, and related disciplines, available via subscription or individual purchase.

3. Eligibility and Account Registration

You must be at least 18 years of age to contract with us. If under 18, you may only use our services with parental or guardian consent. You agree to provide accurate information, maintain account security, and notify us of any unauthorised access at info@cadconsultantsltd.com.

4. Professional Services

4.1 Scope of Work: All professional services engagements are governed by a written agreement or Statement of Work (SOW). These Terms apply in addition to any SOW. Where there is a conflict, the SOW prevails.

4.2 Client Responsibilities: You agree to provide accurate and timely information, provide feedback within agreed timeframes, and obtain necessary consents and permits.

4.3 Changes: Any scope changes must be requested in writing. We will provide a revised cost and timeline estimate before proceeding.

5. Online Courses and Subscriptions

5.1 Access: You receive a limited, non-exclusive, non-transferable licence to access course content for personal or internal business use only. You may not share credentials or use materials for unauthorised commercial purposes.

5.2 Subscription Renewal: Subscriptions auto-renew unless cancelled before renewal. You may cancel anytime via account settings or by emailing info@cadconsultantsltd.com.

5.3 Course Availability: We will make reasonable efforts to keep content accurate and available, and will provide reasonable notice of significant changes or withdrawals.

6. Fees and Payment

6.1 Pricing: All prices are in NZD inclusive of GST unless otherwise stated.

6.2 Professional Services Payment: A 50% deposit is due before work commences. The balance is due on delivery. Invoices are payable within 20 working days. Overdue amounts attract interest at 1.5% per month.

6.3 Courses and Subscriptions: Payment is due at the time of purchase or at the start of each billing cycle.

6.4 Disputed Invoices: Disputes must be notified in writing within 10 working days of the invoice date.

7. Refunds and Cancellations

7.1 Consumer Rights: Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

7.2 Online Courses: Full refund available within 14 days of purchase, provided you have completed less than 20% of the course.

7.3 Subscriptions: You may cancel anytime. No partial refunds for the current billing period, except as required by law.

7.4 Professional Services: Refunds are assessed case-by-case. Work completed to the cancellation date is chargeable. Deposits are non-refundable once work has commenced, unless we are in breach.

8. Intellectual Property

8.1 Our IP: All our content, materials, branding, and tools are protected by New Zealand and international intellectual property laws. You may not copy, reproduce, or create derivative works without our written consent.

8.2 Project Deliverables: Upon full payment, we assign you IP rights in final deliverables. We retain ownership of all background IP, tools, and pre-existing materials. We may use project images in our portfolio unless you object in writing.

8.3 Client Materials: You warrant that materials you provide do not infringe third-party IP rights and indemnify us against related claims.

9. Confidentiality

Both parties agree to keep the other's confidential information secure. This obligation survives termination of any agreement between us.

10. Disclaimer of Warranties

Our services are provided in good faith with reasonable care and skill. We do not warrant that services will be uninterrupted or error-free, or that design outputs will guarantee regulatory approval. Consumer rights under the CGA are not affected.

11. Limitation of Liability

11.1 Our total liability is limited to fees paid by you in the three months before the relevant event.

11.2 We are not liable for indirect, incidental, consequential, or special losses.

11.3 If you are a consumer under the CGA, our liability is limited to resupply of services or the cost thereof, unless it is not fair or reasonable to limit liability. Business clients may agree to exclude the CGA under section 43.

12. Dispute Resolution

12.1 Informal Resolution: Contact us at info@cadconsultantsltd.com. We will respond within 10 working days.

12.2 Mediation: If unresolved within 30 days, either party may refer the matter to mediation through the Resolution Institute New Zealand (www.resolution.institute).

12.3 Jurisdiction: Disputes are subject to the exclusive jurisdiction of the courts of New Zealand, governed by New Zealand law.

12.4 Consumer Rights: Nothing limits your right to complain to the Commerce Commission or Disputes Tribunal.

13. Privacy

We handle your personal information in accordance with our Privacy Policy and the New Zealand Privacy Act 2020. We will not sell your personal information. Our Privacy Policy is available at www.cadconsultantsltd.com/privacy.

14. User Conduct

You agree not to use our services to violate any law, infringe intellectual property rights, transmit harmful or unlawful content, gain unauthorised access to our systems, or use our materials for unauthorised commercial purposes.

15. Third-Party Links

We are not responsible for third-party websites linked from our site. Use of such sites is at your own risk.

16. Modifications

We may update these Terms with at least 14 days' notice. Continued use after changes take effect constitutes acceptance.

17. General

These Terms constitute the entire agreement between you and CAD Consultants Ltd. If any provision is unenforceable, the remainder continues in effect. We may assign our rights to a successor entity. We are not liable for delays caused by events beyond our reasonable control.
